Notable credentials and contributions

A selection of Irdina’s notable achievements includes the following:


Capital Markets

•Advised a co-operative society and its special purpose vehicles on the proposed issuance of a complex dual-structure Sukuk programme comprising of Structured Covered Sukuk Wakalah Programme of up to RM5 billion and Sukuk Murabahah of up to RM6 billion.

• Assisted Malaysia’s first Islamic real estate investment trust (REIT) in multiple transactions, including the acquisition and leaseback of prominent hospitals and college buildings nationwide, with an aggregate transaction value exceeding RM200 million, while ensuring compliance with applicable capital markets laws such as the Capital Markets and Services Act 2007 and the Main Market Listing Requirements of the Securities Commission Malaysia.

• Advised Bursa Malaysia-listed companies on the establishment of recurrent related party transactions, including the preparation of circulars to shareholders and the requisite announcements to Bursa Malaysia.


Corporate M&A

• Assisted clients in drafting and negotiating transaction agreements for cross-border share acquisitions involving jurisdictions such as the Philippines and the United Kingdom.

• Assisted private sector clients and governmental bodies in relation to asset and business transfers, including the transfer and licensing of intellectual property.

•Conducted legal due diligence exercises on companies across various industries, including real estate and property, health and wellness, and technology-based services, in connection with SRI Sukuk issuances, sustainability-linked financings, and acquisitions of properties and investments.


Real Estate

• Assisted clients and property developers in the disposal and acquisition of land for development projects throughout Malaysia, involving properties with an aggregate value exceeding RM100 million, including advising on and securing requisite governmental approvals such as approvals from the Economic 

Planning Unit of the Ministry of Economy.

• Prepared all the documentation process for rectification of titles for a few housing projects.


Financing

•  Assisted a Bursa listed company in connection with a financing facility in foreign currency (up to USD30 million) provided by a local Malaysian bank.


ESG & Sustainability

•  Advised clients on the preparation and review of sustainability reports to ensure compliance with applicable ESG requirements and reporting standards.

• Assisted the firm in the preparation of its inaugural Sustainability Report, being among the first law firms in Malaysia to do so.


Corporate Advisory

• Provided legal advisory services to public listed companies, private corporations, multinational companies, and state government-backed entities, involving extensive legal research across multiple areas of Malaysian law and policy, including sustainability-related regulations, land use and development, industrial and employment law, oil and gas, anti-corruption and anti-money laundering frameworks, as well as regulatory policies issued by Bank Negara Malaysia, the Securities Commission Malaysia, and other relevant ministries.

• Adviced China investors on Foreign Exchange Policies under Bank Negara Malaysia, Malaysian Moneylenders Act and Malaysian Financial Services Act.
